Overview

The OEM CLA is the agreement that an OEM Customers must sign in order to license MS Products through the distribution channel. This is the primary agreement between Microsoft and the OEM Customer.

  • A CLA is valid for two (2) years
  • A CLA is the agreement that an OEM Customer must sign in order to license MS Products through the distribution channel
  • An active CLA must be in place prior to distributing an Embedded System with an Image installed that includes an MS Product
  • The OEM CLA includes the general terms and conditions that govern the licensing of MS Products
  • CLA is an umbrella agreement – no commitment to product, volume or price is required

How to fill out a CLA

This is a step-by-step process for proper Microsoft CLA signature for OEM:

  • Please review Microsoft CLA - word and PDF document
  • Please fill out Word document, save it and send it to Elbacom via email, so Elbacom can review it whether everything is OK. This is just to make sure that everything is as required by Microsoft otherwise Elbacom would have to do it again and it takes time
  • Once Elbacom approves it, Elbacom will let you know and then please print 2 copies of word document and PDF - create 2 copies, staple it together and sign it on a front page (page 1) and last page (meaning page 21)
  • Then please send it to Elbacom local office via post who will process it
  • Elbacom will enter all the details into Microsoft licensing system and from that moment you can start purchasing
  • Elbacom recommends customers to buy Windows Embedded Studio and 1-2 licenses for testing purposes, so you can test your solution with full licenses

Signature and Information Form

Instruction: Company must (i) complete this Part 1 of the Agreement and (ii) print 1 copy, sign it and send it back to the MS Distributor. The MS Distributor will submit it to Microsoft Ireland Operations Limited (“MS”). The original copy countersigned by MS will be mailed to the Company thereafter. To reduce printing and shipping costs please print on both sides of the page, as opposed to single pages.


This signature form and all contract documents identified in the table below are entered into between the Company and MS as of the Start date identified in the below signature block.

By signing the below signature block, Company and MS agree that both parties (1) have received, read and understand the above contract documents, including any websites or documents incorporated by reference and any amendments and (2) agree to be bound by the terms of all such documents.

Company certifies that it has not edited or changed this Signature form or the above contract documents in any respect and agrees that any edits to such contract documents are void.
